GLOBAL MEMBERSHIP AGREEMENT 1. PARTIES AND ACCEPTANCE This Global Membership Agreement ("Agreement") is executed electronically between www.marblecenter.com.tr ("Site") and the Member ("User") who registers on the Site. By checking the "I Accept" box or by utilizing the services provided, the User declares and undertakes that they have read, understood, and unconditionally accepted all provisions of this Agreement within the framework of international trade standards. 2. CORPORATE IDENTITY (SELLER) The operations of the Site are managed by Osmanlı Havacılık Madencilik İhracat İthalat Sanayi Ticaret Limited Şirketi (hereinafter referred to as the "Seller"), a recognized authority in the Aerospace and Mining (Natural Stone/Marble) sectors, located at Hoca Ahmet Yesevi Mahallesi, 1066. Sokak NO:9 Merkez/Afyonkarahisar, Türkiye. 3. DEFINITIONS Site: The online platform accessible via the address www.marblecenter.com.tr. Member: Any natural or legal person who completes the registration process. Buyer: The Member who purchases goods or services offered by the Seller. Services: The e-commerce infrastructure, technical consultancy, and product procurement processes provided through the Site. 4. SCOPE OF SERVICES The Seller provides high-quality products within the mining and aerospace industries. All services are subject to Consumer Law and International E-Commerce Regulations. The Seller reserves the right to modify, expand, or limit the scope of services provided through the Site to maintain global excellence and operational efficiency. 5. RIGHTS AND OBLIGATIONS OF THE PARTIES Accuracy: The Member is obliged to provide accurate and legally compliant information. The Seller cannot be held responsible for damages arising from incorrect information provided by the Member. Security: The Member is solely responsible for the confidentiality of their account information and password. Zero Grievance Policy: The Seller operates on the "Zero Grievance" principle by ensuring rapid logistics, transparent return policies, and high-quality control in every transaction. Data Privacy: The Seller complies with global data protection standards in alignment with KVKK (Turkey) and GDPR (EU). Our systems do not store credit card information; all transactions are conducted via encrypted, high-security international payment gateways. 6. INTELLECTUAL PROPERTY RIGHTS All digital assets, including but not limited to designs, technical specifications, texts, images, and HTML codes, are the exclusive intellectual property of the Seller. Unauthorized copying, distribution, or commercial use of these materials without written permission is strictly prohibited and subject to international copyright laws. 7. GOVERNING LAW AND INTERNATIONAL JURISDICTION Any conflict, dispute, or claim arising out of or related to this Agreement—including its validity, breach, or termination—shall be governed by and construed in accordance with the laws of the Republic of Türkiye. For international transactions, the parties agree to the application of the Arbitration Rules of the International Chamber of Commerce (ICC). Legal proceedings that cannot be resolved through mediation or arbitration shall be submitted to the exclusive jurisdiction of the International Trade Courts and the Central Courts of Türkiye. 8. LIMITATION OF LIABILITY The Seller shall not be held liable for any direct or indirect damages, technical interruptions, or data losses resulting from the use of the Site or third-party links, except in cases where gross negligence is proven. 9. ENFORCEMENT AND AMENDMENTS This Agreement enters into force at the moment of electronic confirmation and remains valid until the Member's account is closed or the Agreement is terminated by the Seller. The Seller reserves the right to update these terms at any time to ensure compliance with evolving international trade and e-commerce regulations.
